Terms of Service

2. Services Description

Quantum Code provides software development services, including but not limited to:

• Custom web and mobile application development
• Website design and development
• Micro tools and automation solutions
• Digital marketing services
• Social media management
• Brand identity and design services

3. Service Agreement

All services provided by Quantum Code are subject to a separate Service Agreement or Statement of Work (SOW) that outlines:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality obligations

4. Payment Terms

Unless otherwise specified in the Service Agreement:

• Payment is due within 14 days of invoice date
• Late payments may incur interest charges at the maximum rate permitted by South African law
• Work may be suspended if payment is not received by the due date
• All prices are quoted in South African Rand (ZAR) unless otherwise stated
• Prices are exclusive of VAT unless explicitly stated otherwise

5. Intellectual Property

Client-Owned Work: Upon full payment, you will own the final deliverables created specifically for your project, as outlined in the Service Agreement.

Quantum Code Retained Rights: We retain ownership of:

• Pre-existing code, tools, frameworks, and methodologies
• Reusable components and templates
• Knowledge and techniques developed during the project

6. Confidentiality

We treat all client information as confidential and will not disclose any proprietary information, trade secrets, or sensitive business data without your explicit written consent, except as required by law.

7. Warranties and Limitations

Our Warranties:

• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services

Disclaimer: Except as expressly stated above, services are provided "as is" without warranty of any kind. We do not warrant that services will be uninterrupted, error-free, or meet all your requirements.

Limitation of Liability: Our total liability for any claim arising from services provided shall not exceed the amount paid for those specific services. We are not liable for indirect, incidental, special, or consequential damages.

8. Support and Maintenance

Post-launch support and maintenance services are available under separate agreements. Standard support includes bug fixes and minor updates as specified in your support plan.

9. Termination

Either party may terminate services under the following conditions:

• Written notice of 30 days for ongoing services
• Immediate termination for material breach after 14 days' notice to cure
• Upon completion of project deliverables and full payment

Upon termination, you must pay for all work completed to date.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the South African courts.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes constitutes acceptance of the modified terms.
